These Pilot Program Terms and Conditions ("Terms") govern participation in the pilot program for the Kloü mobile application and associated waitlist (the "App" or "Service"). By accessing or using the App, or by joining the Kloü waitlist, you agree to these Terms with Klou Co. (the "Company").

1. Pilot Program

The App lists nightlife events and venues. The App is currently offered as part of a limited pilot program designed to test functionality, event listings, and user experience (the "Pilot Program"). The Pilot Program is experimental. Features may change, contain errors, or be discontinued at any time. The Company may modify, suspend, or terminate the Pilot Program at its discretion.

2. Information Only — No Responsibility for Events or Venues

The App provides informational listings of nightlife events and venues. The Company does not organize, operate, or control any events or venues listed on the App, does not verify the accuracy of event details or venue practices, and does not screen event organizers or venue operators.

Use of the App to discover events or venues is entirely at your own risk. Attendance at nightlife venues involves inherent risks, including risks related to alcohol consumption, crowd conditions, crime, and personal safety. By using the App, you acknowledge and assume all such risks.

To use the App, you may provide personal information such as name, contact details, location data, and usage information. You agree that the Company may:

4. SMS and Text Messaging

By submitting your phone number to the Kloü waitlist, you consent to receive SMS messages from the Company at that number, including signup confirmations, one-time verification codes, launch notifications, and occasional venue or event updates.

Message frequency varies. Message and data rates may apply. You may opt out at any time by replying STOP to any message. For help, reply HELP or email gabe@klou.app. Consent to receive SMS is not a condition of purchase or use of the App.

5. Feedback

You may provide feedback, comments, or suggestions regarding the App ("Feedback"). By submitting Feedback, you grant the Company the unrestricted right to use, modify, and incorporate such Feedback into its products and services without compensation or attribution.

All intellectual property rights in and to the App, including its software, design, content, branding, and technology, remain the exclusive property of the Company. You may not:

To the fullest extent permitted by law, none of the Company, its owners, directors, executives, or agents will be liable for any indirect, incidental, special, consequential, or punitive damages, including damages related to personal injury, property damage, or losses arising from attendance at any venue or event listed on the App. None of the Company, its owners, directors, executives, or agents shall have any liability arising out of or relating to these Terms or the App.

The Company may suspend or terminate access to the App at any time and for any reason.

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.
